The Position As Commercial Counsel at Signifyd, your role will be centered on providing transactional legal support to our internal clients, primarily our global Commercial and Enterprise sales team in a fast-paced, in-house legal department. Working closely with internal stakeholders, the Commercial Counsel will be responsible for the review, negotiation, drafting and execution of a variety of complex commercial and technology agreements. Reporting directly to the Managing Counsel, the ideal candidate is a business-focused, service oriented attorney who can appropriately balance business objectives and legal considerations under tight deadlines. This individual should enjoy close collaboration with legal and non-legal colleagues, maintain a positive, can-do attitude and be a creative problem solver. We are especially interested in those familiar with negotiating contracts related to cloud computing, retail/ecommerce, and professional services. This position can be based anywhere in the US, either fully remote or in one of our offices (San Jose, Denver or NYC). Primary Responsibilities

  • Review, draft and manage commercial, intellectual property, and vendor agreements, with a primary focus on supporting Signifyd's Commercial and Enterprise Sales teams globally.
  • Manage agreements that comply with company policies and evaluate associated risk.
  • Respond promptly to legal requests from Sales and Marketing, Business Development, Product, Engineering and other internal functional teams, with the ability to summarize and communicate legal concepts to the business simply.
  • Advise business clients, as well as operational internal stakeholders, on legal issues, risk assessments, approval processes, company policies and procedures, and business strategy.
  • Serve as a primary business owner in our internal contract management infrastructure.
  • Negotiate contracts with external parties and maintain commercial relationships with vendors, partners and customers.
  • Support the continuous improvement of standard form agreements and legal and compliance processes at Signifyd.
  • Perform other duties as necessary to support Signifyd's rapid growth and expansion. Requirements
    • 3+ years of experience in contractual negotiation and commercial law required.--
    • Demonstrated experience in advising EMEA, North American or LATAM internal clients in assessing and managing risk in commercial transactions.
    • Bar admission in New York or California preferred.--
    • Ability to demonstrate strong organizational skills and experience managing several simultaneous projects under tight deadlines.
    • Impeccable communication skills, both verbally and in writing.
    • Ability to translate between technical, business and legal frameworks and translate between same vocabularies and communication styles. Preferred qualifications:
      • 5+ years of relevant work experience, law firm and in-house preferred.
      • Background in drafting and managing services agreements, sales contracts, licenses, partnership/resale agreements and intellectual property agreements.
      • Familiarity with cloud computing, card-not-present payment stack, retail and ecommerce, professional services, and privacy law is a plus.
